Terms of Use

Effective: April 12, 2026

This agreement ("Terms") is between you ("Customer", "User") and JUG Software Ltda. ("JUG", "we", "us"). By clicking "Create account", accessing or using the Platform, you confirm that you have read, understood and agree to these Terms. If you do not agree, do not create an account or use the Platform.

If you are accepting these Terms on behalf of a company or organization, you represent that you have authority to bind that entity, and the words "User" or "Customer" refer to that entity.

1. Overview

JUG (the "Platform") is a SaaS agile project management tool that includes workspaces, projects, goals, steps, tasks, sprints, backlog, timesheets, documents, comments, attachments, real-time notifications, team invites and analytics. These Terms govern access to and use of the Platform and related services.

2. Registration and Account

To use the Platform, the User must provide a name, valid email address and password. The User is responsible for keeping credentials confidential and must notify us immediately if they become aware of unauthorized access to their account. All activity under the account is the User's responsibility.

3. Users and Workspaces

3.1 Administrator Responsibility

The workspace administrator is responsible for managing members, assigning roles and permissions, and ensuring that all invited users comply with these Terms. The administrator is responsible for all workspace members' activity, including invites and content they add.

3.2 Invitations

When inviting a new member, the User represents that they are authorized to share the invitee's email with us for sending the invitation. By accepting, the invitee agrees to these Terms.

3.3 Minimum Age

The Platform is not intended for anyone under 18. The workspace administrator is responsible for ensuring all members meet this requirement.

4. Permitted Use and Restrictions

4.1 License

Subject to these Terms and for the subscription term, we grant the Customer a non-exclusive, non-transferable, worldwide license to access and use the Platform for legitimate internal business purposes, in accordance with the purchased plan.

4.2 Restrictions

Except as expressly permitted, the User must not (and must not allow anyone else to):

  • Resell, sublicense, rent or distribute the Platform
  • Use the Platform to develop a similar or competing product
  • Reverse engineer, decompile or disassemble the software
  • Circumvent usage limits, feature restrictions or security mechanisms
  • Remove or alter proprietary notices, trademarks or attributions
  • Send malicious content, viruses or harmful code
  • Intentionally overload the Platform infrastructure
  • Use the Platform for unlawful purposes or in violation of third-party rights
  • Attempt to access accounts, data or systems without authorization

5. Plans, Billing and Renewal

5.1 Trial Period

The Platform offers a 7-day free trial. During the trial, all features are available. After the trial, access requires a paid subscription.

5.2 Billing

Payments are processed by Stripe, Inc. in US Dollars (USD) or the equivalent local currency, depending on the user's location. Billing is monthly, per active user in the workspace, with a minimum of 5 users. Prices are those in effect at signup or renewal.

5.3 Automatic Renewal

The subscription renews automatically at the end of each monthly period at the then-current price. Either party may choose not to renew by notifying the other before the end of the current period.

5.4 Price Changes

We may adjust plan prices. Price changes take effect only on the next renewal, and we will notify the Customer at least 30 days in advance. If the Customer disagrees, they may cancel before renewal.

6. Right of Withdrawal (Brazil)

In accordance with Article 49 of the Brazilian Consumer Protection Code (CDC), the Customer may request cancellation and a full refund within 7 (seven) calendar days from the date of purchase, without needing to justify. The refund will be processed through the same payment method used for purchase.

7. Cancellation and Termination

7.1 Cancellation by Customer

The Customer may cancel the subscription at any time through workspace settings. After cancellation, access remains active until the end of the current billing period.

7.2 Termination for Cause

Either party may terminate these Terms if the other: (a) materially breaches and fails to cure within 30 days after notice, or (b) ceases operations. If the Customer terminates for cause, we will refund a pro rata amount of any prepaid fees for the unused period.

7.3 Suspension for Non-Payment

We may suspend access to the Platform for non-payment, after at least 10 days' prior notice.

7.4 Effect of Termination

Upon expiration or termination: (a) the right to access the Platform ends, (b) the Customer must cease use immediately. Workspace data will be retained for 90 days after closure and may be recovered if the subscription is reactivated. After that period, data will be deleted.

8. Content and Ownership

8.1 Customer Data

The Customer retains full ownership of all content entered into the Platform ("Customer Data"), including projects, tasks, documents, comments and attachments. JUG uses Customer Data solely to provide the Platform and contracted services.

8.2 JUG Intellectual Property

The Platform, including its design, source code, interface, trademarks and logos, is owned exclusively by JUG Software Ltda. or its licensors. No intellectual property rights are transferred to the Customer. Except for the use rights granted in these Terms, no additional license is granted.

8.3 Feedback

If the Customer provides suggestions, ideas or feedback about the Platform, JUG may use them without restriction or obligation.

9. Availability and Support

9.1 Availability

We use commercially reasonable efforts to keep the Platform available and functional. However, we do not guarantee uninterrupted availability and may perform scheduled maintenance. We will give reasonable advance notice of planned downtime.

9.2 Support

We provide technical support by email for operational questions about the Platform. Support is available on business days; response times may vary depending on complexity.

10. Warranties and Disclaimers

10.1 Limited Warranty

We warrant that the Platform will operate in substantial conformity with the documented features during the subscription term.

10.2 Disclaimer

Except as stated in section 10.1, the Platform is provided "as is". We make no other warranties, express or implied, including merchantability, fitness for a particular purpose or non-infringement. We do not warrant uninterrupted or error-free use. We are not liable for delays, failures or issues inherent in the internet or systems outside our control.

11. Limitation of Liability

11.1 Exclusion of Damages

To the maximum extent permitted by applicable law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, including loss of revenue, data, profits or business interruption, even if advised of the possibility.

11.2 Liability Cap

JUG's total liability under these Terms will not exceed, in aggregate, the amounts actually paid by the Customer in the 12 months preceding the first event giving rise to liability.

12. Changes to the Terms

We may update these Terms periodically. We will notify Users of material changes by email or in-app notice at least 30 days in advance. For paid subscriptions, changes take effect on the next renewal except where required for legal compliance, in which case they may apply during the current term. If the Customer disagrees, they may terminate as described in section 7.

13. General Provisions

13.1 Governing Law and Venue (Brazil)

These Terms are governed by the laws of the Federative Republic of Brazil. Venue is the court of the User's domicile for any disputes, in accordance with Article 101(I) of the Brazilian Consumer Protection Code (CDC).

13.2 Assignment

The Customer may not assign or transfer its rights under these Terms without JUG's prior written consent, except in a merger, acquisition or sale of substantially all assets, with prior notice. JUG may assign its rights and obligations.

13.3 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between the parties and supersede any prior agreements or understandings.

13.4 Severability

If any provision is held invalid or unenforceable, it will be limited to the minimum extent necessary, and the remainder will remain in full force and effect.

13.5 Survival

The following sections survive termination or expiration: 4.2 (Restrictions), 7.4 (Effect of Termination), 8 (Content and Ownership), 10.2 (Disclaimer), 11 (Limitation of Liability) and 13 (General Provisions).

15. Definitions

  • "Platform" — the JUG SaaS software, including all features, APIs and interfaces.
  • "Customer" — the entity or individual that accepts these Terms and subscribes to the Platform.
  • "User" — any individual authorized by the Customer to access and use the Platform, including employees, consultants and workspace invitees.
  • "Workspace" — the Customer's virtual space on the Platform where projects, members and data are organized.
  • "Customer Data" — all content, data and materials entered into the Platform by the Customer or its Users.
  • "Subscription" — the contracted period of access to the Platform under the chosen plan.
  • "Administrator" — the User with permissions to manage the workspace, including members, billing and settings.
